Advanced Tools provides this website and related Services and Products subject to your acceptance of these Terms. The Terms include our Privacy, Shipping, Returns, and Warranty policies, which can be reviewed via the relevant sections of our website. By using our site or purchasing Goods, you agree to these Terms. These Terms apply to all online purchases and override any conflicting terms.

The provision of the Services by Advanced Tools does not constitute an offer of Goods. You may offer to purchase a product from Advanced Tools (whether online using the Services or otherwise), however notification of receipt of your Order does not constitute acceptance of your offer. An agreement for the purchase of Goods shall only arise between the parties when Advanced Tools processes the Order and payment is cleared. 

Nothing in these Terms excludes rights available to you under Australian Consumer Law.

Definitions

'ACL' refers to the Australian Consumer Law under the Competition and Consumer Act 2010 (Cth).

'Customer' means any legal person purchasing goods viawww.advancedtools.com.au, and may include references to ‘you’ or ‘your’.

'Goods' refers to a product or products supplied by Advanced Tools.

‘Services’ means the provision of this website including information contained on the website, business communication between Advanced Tools and you and an online store for the purchase of Goods.

‘Order’ means an offer by you to buy Goods.

Accuracy, completeness and timeliness of information 

Occasionally our website may contain errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. 
We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel Orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your Order). 

The material on this site should not be relied upon or used as the sole basis for making decisions. Any reliance on the material on this site is at your own risk. 
We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site, nor to notify you of any updates.

Modifications to the service, products and prices

Until Advanced Tools accepts your offer to purchase a product, prices are subject to change without notice.  We reserve the right at any time to modify or discontinue a Product or Service (or any part or content thereof) without notice. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of a Product or Service.

Price adjustments

If, after acceptance of an Order but before delivery, Advanced Tools experiences a significant and unforeseen increase in costs due to factors beyond its reasonable control (including but not limited to government-imposed tariffs or extraordinary freight cost increases), Advanced Tools may:
(a) notify the Customer of the cost increase; and
(b) offer the Customer the option to either:
(i) proceed with the order at the adjusted price; or
(ii) cancel the Order and receive a full refund of any amounts paid.

Advanced Tools will act reasonably and in good faith when invoking this clause and will provide supporting evidence of the cost increase upon request.

Payment Terms

All orders must be paid in advance using the payment methods and instructions provided on our website. An offer by you to buy a product (‘Order’) will not be accepted and processed until payment is processed and cleared.

Delivery and Risk

The Customer will be responsible for providing Advanced Tools with suitable and timely access to the Customer’s site for the delivery of Goods.Title to the Goods will pass to the Customer upon acceptance of (and full payment for) the Goods. Risk to the Goods will pass to the Customer upon delivery of the Goods to the Customer’s site.

If Goods which are delivered by Advanced Tools conform with these Terms, the Customer will promptly issue written notification to Advanced Tools of acceptance of those Goods. If the Customer does not give written notification to Advanced Tools of acceptance or rejection of Goods within five (5) Business Days of those Goods’ delivery, acceptance of those Goods will be deemed to have occurred on the date of the Goods’ delivery.

Certain content, products and services available via our Service may include materials from third-parties. Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. 

Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with these Terms, including but not limited to business, technical, and pricing information (“Confidential Information”).
Confidential Information must not be disclosed to any third party without prior written consent, except:
(a) as required by law or regulatory authority; or
(b) to professional advisers bound by confidentiality obligations.
This obligation survives termination of these Terms.

Termination

Advanced Tools may terminate these Terms immediately by written notice if:
(a) the Customer breaches any material provision of these Terms and fails to remedy the breach within 14 days of notice;
(b) the Customer becomes insolvent or subject to external administration; or
(c) Advanced Tools ceases to provide the Services.
Upon termination:
(i) all amounts owing become immediately due and payable; and
(ii) clauses relating to Intellectual Property, Indemnity, Confidentiality, and Limitation of Liability survive termination.
Waivers

A right in favour of a party under these Terms may only be waived (whether prospectively or retrospectively) in writing signed by that relevant party.No other act, omission or delay will constitute a waiver of a right by the relevant party.

Force Majeure

Advanced Tools will not be liable for any delay in performing any of its obligations under these Terms if such delay is caused by a Force Majeure Event beyond its reasonable control and will be entitled to a reasonable extension of time for the performance of such obligations in such event.

Customer warranty

You warrant that you have authority to enter into these Terms, that you shall not use our website or products for Prohibited or unlawful purposes, and that you will comply with all applicable laws. Prohibited uses include transmitting viruses, infringing intellectual property rights, and engaging in fraudulent activity.

GST

Unless otherwise expressly stated, all fees, prices or other sums payable or consideration to be provided under or in accordance with these Terms are exclusive of GST.

Indemnity and Limitation of Liability

The Customer agrees to indemnify Advanced Tools against claims arising from the Customer’s breach of these Terms or applicable laws.

To the extent permitted by law, Advanced Tools excludes liability for indirect or consequential loss.

This clause on Indemnity and Limitation of Liability shall survive termination.

Intellectual Property Rights

The Customer acknowledges and agrees that:

·      any Intellectual Property Rights that Advanced Tools develops during its supply of Goods and/or Services under these Terms will vest in Advanced Tools, forming part of Advanced Tools Intellectual Property; and

·      the Customer shall not use Advanced Tools Intellectual Property without Advanced Tools prior written consent, except to the extent necessary to use the Goods and/or Services in the manner contemplated under these Terms.

The Customer shall not represent that it has any ownership interest in Advanced Tools Intellectual Property nor contest nor impair Advanced Tools right, title or interest in Advanced Tools Intellectual Property (whether during the Term of these Terms or at any time afterwards).

This clause on Intellectual Property Rights shall survive termination.

Variation and Severability

Advanced Tools may vary these Terms by posting updated Terms on its website. Continued use by you constitutes acceptance.

In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms, such determination shall not affect the validity and enforceability of any other remaining provisions.

Assignment of Rights

You may not assign any rights under these Terms without written consent by Advanced Tools.

Entire Agreement

These Terms supersede all prior representations, arrangements, understandings and agreements between the parties and represents the entire complete and exclusive understanding and agreement between the parties relating to the subject matter of these Terms.

The parties acknowledge and agree that they have not relied on any written or oral representation, arrangement, understanding or agreement not expressly set out or referred to in these Terms.

Governing Law

These Terms are governed by the laws of Victoria, Australia.The parties irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of the State of Victoria, Australia, to resolve any dispute which may arise between the parties in relation to these Terms.
